By accessing or using Ventrium AI, you agree to be bound by these Terms of Use. If you do not agree with any part of these terms, you may not use our services.

Ventrium AI is a platform for generating AI-powered content, including:

• AI-generated images
• AI-generated videos
• AI-generated audio

The service is operated by CODEMART LLC, doing business as Ventrium AI.

CODEMART LLC is a limited liability company established in the United States.

We provide access to third-party AI models through our platform, facilitating creative content generation.

You can create an account using social login providers (Google, Apple, etc.).

Requirements:

• Must have reached the age of majority in your country of residence
• Must provide accurate information to the social login provider
• Responsible for maintaining account security
• Must not share account credentials
• Must notify us immediately of any unauthorized use

You are fully responsible for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these terms.

Ventrium AI operates on a credit-based system:

Credit costs vary by content type and model used.

All payments are processed through Stripe, our secure payment provider.

Credits are non-refundable except as required by law.

You are responsible for any applicable taxes on your purchases.

Subscription plans automatically renew at the end of each billing period.

Automatic renewal: Your subscription will automatically renew unless you cancel.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

We reserve the right to change subscription pricing with 30 days notice.

When downgrading or canceling, you will lose access to monthly credits but retain unexpired credits.

Cancellations do not result in prorated refunds for the current period.

You agree NOT to use the platform to:

• Generate adult or sexually explicit content
• Generate violent or graphic content
• Generate content that violates third-party rights (copyright, trademark, etc.)
• Generate illegal content or content promoting illegal activities
• Generate content that harasses, threatens, or defames others
• Generate deepfakes or misleading content without disclosure
• Attempt to bypass content filters or moderation systems
• Use the platform for automated or bulk generation without authorization
• Reverse engineer or attempt to access underlying systems
• Interfere with platform operation or servers
• Use the platform for spam or malicious activities
• Violate any applicable laws or regulations

Violation of these rules may result in immediate account suspension or termination.

We encourage users to report violations through the support system.

You retain ownership of content you generate using the platform.

User rights: You own all rights to content you create using the platform.

Platform license: You grant Ventrium AI a limited license to store and display your content for service provision.

Disclaimer: Content is generated by AI models. You are responsible for ensuring generated content does not violate third-party rights.

You may use generated content for commercial purposes, subject to the terms of underlying AI model providers.

Attribution to Ventrium AI is not required but appreciated.

You are solely responsible for obtaining any necessary licenses or permissions for commercial use.

We employ automated systems to block inappropriate content before generation.

Blocking system: Our AI-powered content moderation system prevents generation of prohibited content.

Blocked categories:

• Adult and NSFW content
• Violence and gore
• Hate speech and discrimination
• Illegal content
• Known copyright violations
• Third-party personally identifiable information

Limitations: While we strive to block all inappropriate content, no system is perfect.

User responsibility: You are solely responsible for content you attempt to generate.

Repeated attempts to generate prohibited content will result in account action.

We use a combination of automated and manual moderation to enforce our content policies.

Moderation process:

• Automated pre-generation prompt filtering
• Post-generation content analysis
• User reporting system
• Manual review of flagged content
• Machine learning to improve detection

Blocking: Content that violates our policies will be blocked and not generated.

Appeals: If you believe content was incorrectly blocked, you may appeal through support.

We do not guarantee all inappropriate content will be blocked, but we continuously strive to improve.

CODEMART LLC and Ventrium AI are NOT liable for:

• Misuse of the platform by users
• Content generated by users that violates laws or third-party rights
• Malicious attempts to bypass content filters
• Damages resulting from use or inability to use the service
• Quality or accuracy of AI-generated content
• Service interruptions or downtime
• Loss of data or content
• Actions of third-party AI model providers

We do not warrant that:

• The service will be uninterrupted or error-free
• Results will be accurate or reliable
• Any defects will be corrected
• The service will meet your specific needs

Our maximum liability is limited to the amount you paid in the last 12 months.

You agree to indemnify and hold harmless CODEMART LLC, Ventrium AI, and their affiliates from any claims, damages, or expenses arising from:

• Your use of the platform
• Content you generate
• Violation of these Terms of Use
• Violation of third-party rights
• Violation of any laws or regulations
• Negligence or willful misconduct

You agree to defend, indemnify, and hold us harmless against all claims and expenses, including attorney fees.

You will fully cooperate in the defense of any claims.

We reserve the right to terminate or suspend your account at our sole discretion.

Grounds for termination:

• Violation of these Terms of Use
• Repeated attempts to generate prohibited content
• Fraudulent activity or payment disputes
• Abusive or harmful use of the platform
• At our discretion for any reason

Effect of termination: Upon termination, you lose access to your account and unused credits (non-refundable).

User termination: You may terminate your account at any time through settings.

Provisions that by their nature should survive termination will continue in effect.

Any disputes arising from these Terms shall be resolved through binding arbitration.

Arbitration: Arbitration will be conducted in accordance with the rules of the American Arbitration Association.

Location: Arbitration will occur in the jurisdiction where CODEMART LLC is registered.

Class action waiver: You waive the right to participate in class action lawsuits.

All disputes must be resolved on an individual basis.

Exceptions: Small claims disputes may be resolved in small claims court.

Costs: Each party will bear their own arbitration costs unless required by law otherwise.

These Terms are governed by the laws of the United States of America.

Jurisdiction: Disputes will be resolved in the jurisdiction where CODEMART LLC is registered.

Venue: You agree to the exclusive jurisdiction of courts in that jurisdiction.

You waive any objections to jurisdiction or venue.

You agree to comply with all applicable laws and regulations when using the service.

We may update these Terms from time to time. When we make material changes, we will notify you through:

• Email to the address associated with your account
• Platform notification
• Updating the "Last Updated" date at the top of this page

Continued use of the platform after changes constitutes acceptance of new Terms.

We recommend you review these terms periodically.

If you do not agree with new terms, you must stop using the service and terminate your account.
